Article 1. Applicability

1. These general terms and conditions apply to all our offers, all agreements concluded by us for the delivery of leads to buyers, and to referral arrangements with agents.
2. Where these general terms and conditions refer to “buyer”, this shall mean any natural or legal person who has entered into a contractual relationship with us by virtue of a purchase agreement concluded with us, or who wishes to enter into any other type of agreement with us. In particular, “buyer” also includes the person on whose instructions and for whose account leads are delivered.
3. Where these general terms and conditions refer to “agent”, this shall mean any natural person or legal entity that submits a lead to us for potential sale in the Leadsxq shop under the referral arrangement.
4. Derogations from these general terms and conditions are only valid if and insofar as expressly agreed in writing.
5. If the buyer or agent also refers to their own general terms and conditions, such terms shall not apply, unless their applicability does not conflict with ours. Any contrary provision in the buyer’s or agents terms shall not affect the foregoing.
6. Where these terms refer to “delivery (of leads)”, this shall also include the performance of services and work of any nature whatsoever

Article 2. Conclusion of Agreement

1. An agreement with us is concluded when:
2. 1. for buyers: the buyer confirms a purchase in leadsxq shop;
   2. for agents: Leadsxq accepts the submitted lead for publication in the Leadsxq shop.
3. We may consider as the contracting party the person or company who has placed the order or submitted the lead.

Article 3. Amendment/Withdrawal of Orders or Referrals

1. Amendments to an order or referral after the conclusion of the agreement will be confirmed in writing or by email after acceptance by us.
2. Any additional arrangements or commitments made by our employees, or by other persons acting as our representatives, shall only be binding if confirmed in writing by our authorized directors.
3. If a buyer withdraws the order after confirming purchase of the lead(s), the buyer shall owe the full purchase price.
4. If a agent withdraws a submitted lead after acceptance by us and publication in the shop, no referral fee shall be due.
   

Article 4. Prices and Referral Fees

1. Buyer prices are listed with the qualification of the lead and are exclusive of VAT. By ordering the lead, the buyer automatically accepts the price.
2. Referral fees are determined by Leadsxq and communicated in the Purchase Order (PO) issued to the agent. Only the fees stated in the PO are valid. These fees represent 35% of the total amount paid by the buyer.
3. All prices and referral fees are stated in euros (EUR). 
   

Article 5. Delivery Terms

1. We are not bound to deliver leads within a specific period, unless expressly agreed otherwise.
2. Delivery of leads to buyers shall be made via email and leadsxq customer portal. Delivery is deemed to have taken place at the time of dispatch by email or publication in the customer portal.
3. Referral fees shall not be payable earlier than six (6) weeks after publication of the lead, and only if the lead has been purchased and not reclaimed under the satisfaction guarantee.
   

Article 6. Complaints by the Buyer (Satisfaction Guarantee)

1. A buyer may submit a complaint in the following situations:
2. 1. Already in Contact: If the buyer is already in contact with the prospect about the project.
   2. 1. Must be reported within 2 days of purchase.
      2. Full refund.
   3. Unreachable Contact: If the buyer is unable to reach the contact person by phone and email.
   4. 1. Buyer must attempt contact for 4 weeks.
      2. Leadsxq will attempt contact for an additional 2 weeks.
      3. If unsuccessful, a full refund will be issued.
   5. Incorrect Qualification: If the lead does not fall within the stated category.
   6. 1. Must be reported within 15 days of purchase.
      2. Full refund.
   7. No Project or Postponed Project: If no project is planned, or if the project is postponed by more than one year.
   8. 1. Must be reported within 30 days of purchase.
      2. Full refund.
3. Complaints must be submitted by email to hello@leadsxq.com or via the customer portal. Each complaint must include a clear and precise description of the issue, as well as the invoice relating to the relevant leads.
4. Any right of the buyer to make a claim against us regarding the delivered leads shall lapse if:
5. 1. the claims are not reported within the above periods and/or in the prescribed manner;
   2. the buyer does not provide us with sufficient cooperation to investigate the validity of the complaint;
   3. the buyer continues using the lead(s) about which the complaint was made.
6. If a lead is refunded under this article, no referral fee will be payable to the agent for that lead.
   

Article 7. Liability

1. In the event of a valid complaint, we are solely obliged, at our discretion, to:
2. 1. cooperate to come to a mutual agreement free of charge;
   2. deliver missing leads and/or information; or
   3. refund the invoice amount already paid by the buyer for the lead concerned.
3. Beyond these obligations, we are never liable for any damages to buyers, agents, or third parties, unless caused by intent or gross negligence on our part. Liability is limited to the invoice value excluding VAT of the relevant order, with a maximum of €5,000.
4. We shall not be liable for consequential or business damages, direct or indirect damages of any kind—including lost profits or downtime, incurred by buyers, agents, or third parties.
5. The buyer and the agent shall indemnify us against all claims made by third parties in connection with the performance of the agreement, insofar as the law permits that the resulting damages and costs be borne by them.

Article 8. Payment

1. Buyers pay in euros (EUR), unless otherwise agreed, without deduction or discount, by online payment via Stripe or by bank transfer to a designated account within 15 days of the invoice date.
2. Agents will receive referral fees only if all conditions of Article 13 are met, and not earlier than 6 weeks after publication of the lead.
3. Late payment by a buyer results in the application of the statutory interest for late payment under the Belgian Law of 2 August 2002 on combating late payment in commercial transactions, as amended, as well as compensation for recovery costs in accordance with that law and EU Directive 2011/7/EU.
4. All extrajudicial collection costs shall be borne by the debtor. Such costs are set at a minimum of 10% of the principal sum with a minimum of €150, exclusive of VAT.
5. If a buyer’s financial position deteriorates significantly, we may suspend performance or require amended payment terms.

Article 9. Termination

1. If a buyer or referrer fails to meet their obligations, or in the event of bankruptcy, suspension of payment, or liquidation, we may terminate the agreement wholly or partially, or suspend its performance, without liability for damages, and may demand immediate payment of amounts due.
2. If we are unable to fulfill our obligations due to circumstances beyond our control, we may terminate the agreement without liability. Such circumstances include, but are not limited to, fire, accident, illness, strikes, riots, war, government measures, transport obstacles, or other events beyond our influence.

Article 10. Applicable Law

1. All our offers and agreements are governed exclusively by Belgian law.

Article 11. Dispute Resolution

1. All disputes of any nature arising from or relating to our agreements or deliveries shall be submitted to the competent court in the judicial district where Leadsxq has its registered office in Belgium.

Article 12. Amendment of Terms

1. We reserve the right to amend these terms and conditions at any time without prior notice. We shall, however, always ensure correct and up-to-date communication of the applicable terms.

Article 13. Agents

1. Eligibility
2. 1. Agents must be at least 18 years old.
   2. Agents must provide their full name, residential address, valid email address, bank account details, and if applicable, company registration details and VAT number.
3. Verification of Leads
4. 1. All leads submitted by agents will be verified by Leadsxq.
   2. Only leads published in the Leadsxq shop are eligible for referral fees.
   3. A referral fee becomes payable only if the lead is purchased by a buyer and not reclaimed under the satisfaction guarantee.
5. Payment of Referral Fees
6. 1. Referral fees shall not be payable earlier than six (6) weeks after publication of the lead.
   2. A Purchase Order (PO) confirming the referral fee will be issued by Leadsxq.
   3. If the agent is a company, it may issue an invoice equal to the PO.
   4. If the agent is an individual, the individual must confirm the PO in writing and provide the bank account details to which the fee will be transferred.
7. General Provisions
8. 1. Leadsxq reserves the right to withhold or refuse payment in case of incomplete, inaccurate, or fraudulent information provided by the agent.
   2. Leadsxq’s decision regarding the eligibility and verification of leads shall be final.
